Revenue Object 3133 – General Business Filing Fees – Limited and Registered Limited Liability Partnerships

Fees for domestic and foreign, limited and limited liability partnerships transacting business in Texas.

Limited Partnerships (Business Organizations Code sec. 4.155)

• $750 fee for filing a certificate of formation or application for registration.
• $150 for a certificate of amendment or an amendment of registration.
• $300 for filing a restated certificate of formation.
• $15 for filing statement for change of registered office or agent.
• $15 or filing a change of name or address of registered agent, not to exceed $750.
• $40 for filing a certificate of termination.
• $15 for filing a certificate of withdrawal of a foreign limited partnership.
• $50 for filing a periodic limited partnership report.
• $75 for filing a certificate of reinstatement after involuntary termination or revocation.
• $50 for reviving a limited partnership's right to transact business after forfeit, and a late fee of $25 per month or $100, whichever is less.
• $75 for reinstatement of a certificate plus late fee of $100. 
• $15 for filing any other instrument.

Limited Liability Partnerships (Business Organizations Code sec. 4.158)

• $200 per partner for filing an application or renewal, including past due reports. Not to exceed $750 for foreign limited liability partnerships.
• $10 for a certificate of amendment, plus $200 per partner. Not to exceed $750 for foreign limited liability partnerships.
